Terms and Conditions of Sale and Participation

Founding Season 2026–2027 · NEXUS Expo & Summit / NEXUS 365

1. Purpose and scope

These Terms and Conditions govern registrations, purchases, reservations and participation in NEXUS offers provided by Prime Synergy Group during the Founding Season 2026–2027 and, when activated, NEXUS 365 services. Specific signed quotations, order forms, contracts and amendments remain applicable.

2. Offers, prices, access and matching

Registration, badges and access:

Access rights depend on the profile, badge or contractual entitlement actually granted.
Registration or payment does not automatically provide access to every session, lounge, side event, meeting or experience.

Matching and NEXUS 365:

Matching tools, Buyer/Investor Bridges, meeting requests, QR contacts and CRM services facilitate introductions only.
They do not guarantee meetings, leads, sales, financing, investment or outcomes.

Applicable prices are those in the current approved pricing reference, quotation or contract. Professional prices are stated excluding tax where relevant, with VAT and other applicable taxes added according to law. Unpriced options are subject to quotation or CEO approval.

3. Invoicing and payment

Payment methods:

Deposits, due dates, payment methods and late-payment consequences are those stated in the applicable quotation, order form or contract.
A signature, LOI or verbal agreement is not cash received.

Contract hierarchy: Where documents conflict, the applicable signed contract or order form prevails for price, deliverables, payment schedule, access rights and specific conditions. These Terms supplement but do not amend a signed contract.

4. Changes, postponement and cancellation

Changes, postponement and force majeure:

Consequences of material changes, postponement, relocation or force majeure are handled under the applicable contract and Moroccan law.
A refund, credit or transfer applies only where the applicable contract or Moroccan law provides for it.

Participant cancellation or termination:

Cancellation, downsizing, substitution, termination and related charges are governed by the applicable signed documents and are not inferred from a previous edition.

5. Sponsors, partners and programme

Sponsor and partner rights are limited to contracted assets and deliverables.

Sponsorship does not automatically guarantee a keynote, editorial panel, leads, sales, investment, accepted meetings, third-party media coverage, institutional attendance or business results.

Programme, schedules and speakers may change. The Programme Direction retains editorial approval. Applying to speak, partnering or sponsoring does not confirm a speaking slot. Sponsored formats are identified as such where published.

6. Liability, safety and insurance

Participants remain responsible for their property, teams, products and activities.

Insurance, safety, hygiene and technical compliance may be required.

Liability limitations apply only to the extent permitted by law.

7. Intellectual property and brands

No rights in trademarks, logos, creations or content are transferred except as expressly authorised. Use of NEXUS or participant brand assets must follow approved rights, brand rules and periods.

8. Exhibitors

Exhibitor rights and obligations:

Exhibitor participation is governed by a specific offer or contract covering space, any stand build, deliverables, payment schedule, technical requirements, insurance and cancellation conditions.
Reserved space does not automatically include stand construction unless expressly stated.

9. Image and communications

Image capture and use must rely on an appropriate legal basis and notice. Specific permissions required for speakers, ambassadors, partners or branded content must be secured where necessary.

10. Miscellaneous Provisions

Personal data: Personal data processing is governed by the NEXUS Privacy Policy and Moroccan Law 09-08. CRM, matching, communication, badges, events and NEXUS 365 purposes are distinguished and documented.

Conduct and compliance: NEXUS may refuse or withdraw access in cases of fraud, badge misuse, dangerous behaviour, harm to persons or property, site-rule breaches or contractual non-compliance, subject to applicable law and contract terms.

Versions, updates and languages: Each published version shows its update date. Legal translations are published after review.

11. Governing law and disputes

These Terms are governed by Moroccan law. Mandatory consumer protection and jurisdiction rules remain applicable. B2B dispute mechanisms may be specified in the signed contract.
